These are the draft Articles of Association for Agnostics International.

The organization will be launched on 1/1/2011, and have its first meeting when its membership has grown large enough to form a quorum. The first order of business will be to amend the draft as may be thought necessary, and then ratify it.

The first task of the new organization will be to draw up its Bye Laws



Article I

Name and Organization

The name of this association is Agnostics International. Agnostics International is
designated an unincorporated nonprofit association created under the laws of the
State of California, USA.

Article II

Intent and Purpose

It is the intent of Agnostics International to become the ruling body of National Associations of Agnostics, and thereby to be subject to the general supervision and control of the representatives of the member associations, and its elected officers.

Agnostics International consists of nine or more members, from three or more Member Associations joined by mutual consent for the common, nonprofit purposes of promoting Agnostic philosophy.

Agnostics International may engage in any and all other charitable activities permitted to an organization exempt from federal income tax under Section 501(c)(3) of the Code or corresponding future provisions of the federal tax law. To these ends,
Agnostics International may do and engage in any and all lawful activities that may be incidental or reasonably necessary to any of these purposes, and it shall have and may exercise all other powers and authority now or hereafter conferred upon unincorporated
nonprofit corporations in the State of California, USA

Article III

Office and Duration

1. The office of Agnostics International shall be located at the address at which the
President or President (pro tem) has official residence; or at such place as the Board of Directors may from time to time determine, or as the business of Agnostics International may require.

2. The duration of Agnostics International shall be perpetual.

3. The death, removal, or resignation of any member of Agnostics International shall
not result in the dissolution of Agnostics International.

Article IV

Structure and Membership

Agnostics International consists of representatives of member associations. Agnostics International is dedicated to the promotion and advancement of agnostic philosophy and related matters, through public education, research, and debate. Membership is open to representatives of member associations wishing to render support, guidance
and encouragement to Agnostics International.

Membership of Agnostics International becomes effective upon the payment of annual dues by the Member Association, in an amount set by a quorum of then existing members of Agnostics International.

Agnostics International does not discriminate on the basis of race, color, sex, age,
religious affiliation, handicap, national origin, or other personal factor.

Article V

Association Leadership

Agnostics International shall be governed by at least nine (9) officers to be determined by the group. The name and total number of officer positions will be determined as the group requires, changeable as circumstances necessitate. One person will be designated as Agnostics International’s agent in California, as needed, following state law requirements.

Fifty one per cent of the then-existing membership constitutes a quorum of Agnostics International.

Officers may be elected every two years by nomination and a majority vote of at least a quorum of the organization.

Article VI

Accounting and Records

The fiscal year of Agnostics International shall be January 1 through December 31 of each year.

All minute books, correspondence, and other records of Agnostics International shall be preserved by the Officers. Records that have ceased to be of use for the conduct of the affairs of Agnostics International may be turned over for preservation to a depository designated by it, or discarded.

Article VII


In the event of the dissolution of Agnostics International, its property, funds, and other assets shall be transferred to whatever organization or organizations operated exclusively for charitable, educational, and/or scientific purposes as Agnostics International may determine, provided such organization or organizations qualify as tax-exempt under the Internal Revenue Code of the United States.

IN WITNESS WHEREOF, the undersigned have executed these Articles of Association on this__________ day of ______________, 2010.
